Membership Agreement
sets forth the terms

Inc. ("Planet3Direct")
offers products and
services to registered
members of the website www.planet3direct.com.

AGREEMENT CAREFULLY

TERMS
The
Membership Agreement
is comprised of (a)
all terms and conditions

(b) all operating
rules and policies

time to time; (c)
Legal Notices and
Trademarks and (d)
the Planet3Direct
Privacy Policy, each
as modified from
time to time. Planet3Direct
may post a notice
on the Site, or broadcast
messages through
the Service, to inform
you of changes to
this Membership Agreement,
the Service, or other
matters of importance.
Such posting or broadcast
will constitute notice
to you. Any amendment
to the Membership
Agreement shall be
effective immediately
upon posting of the
notice, or broadcast

will reaffirm your

The term "Service" includes

REQUIREMENTS

You shall also be

MEMBERSHIP
FEES/FREE TRIALS
Our
annual membership
fee to access the
Planet3Direct Service
is $20.00 per year.
Discounted memberships
are available to
first time customers
for $10.00 who wish
to donate to a charitable
organization of their
choice. In order
to purchase our discounted
membership offer
you must have a valid
email address to
register. Your first
year discounted membership
entitles you to the
same Service as provided
to all of our paying
members.
PRIVACY

For

regarding the uses
of information collected
in connection to
the Service, please

Privacy Policy. If
at any time you believe
that Planet3Direct
has not adhered to

terminates this Agreement,
or suspends your
account for any of
the reasons set forth
in this paragraph,
it shall have no
liability or responsibility
to you, and Planet3Direct
will not refund any
amounts that you
have previously paid.
If you object to
any portion of this
Membership Agreement,
or any subsequent
modification thereto,
or become dissatisfied
with the Service,
the Site, or any
materials, data,
text, images, video,
audio, music, sound
or other Site Content,
or any transaction
entered into through
the Site or Service,
your only recourse
is to immediately
discontinue use of
the Service and notice
Planet3Direct of
such termination.
The preceding sentence
sets forth your sole
and exclusive remedy
regarding any objection

Membership Agreement,
or any dissatisfaction

not responsible for

based on erroneous

be liable for damages

that the courts in
the State of Texas,
Harris County, have
exclusive jurisdiction
over any claim or
dispute with Planet3Direct
or relating in any
way to your account
or your use of the
Service. You further
agree and expressly
consent to personal
jurisdiction over
you in the federal
and state courts
in Harris County
in connection with
any such dispute
including any claim
involving Planet3Direct
or its partners,
parents, licensors,
affiliates, subsidiaries,
employees, contractors,
officers, directors
or suppliers.
GENERAL
This
Membership Agreement
constitutes the entire
agreement between
you and Planet3Direct
with respect to the
Service, and it supersedes
any other agreement,
proposals and communications,
written or oral,
between you and any
Planet3Direct representatives
with respect to the
Service. If a court
of competent jurisdiction
holds that any provision
of this Membership
Agreement is illegal,
unenforceable, or
contrary to law,
such provision shall
be construed, as
nearly as possible
to reflect the original
intent of this Membership
Agreement, with the
other provisions
remaining in full
force and effect.
Any failure by Planet3Direct
to exercise or enforce
any right or provision
of this Membership
Agreement shall not
constitute a waiver
of such rights or
provision unless
Planet3Direct acknowledges
and agrees to it
in writing. You and
Planet3Direct agree
that any cause of
action arising out
of, or related to
the Service or the
Site must commence
within one (1) year
after the cause of
action arose, otherwise,
such cause of action
is permanently barred.
